TO: ALL RECORD AND BENEFICIAL OWNERS OF COUNTRYWIDE FINANCIAL CORPORATION COMMON STOCK AT ANY TIME DURING THE PERIOD FROM AND INCLUDING AUGUST 21, 2007 THROUGH AND INCLUDING JULY 1, 2008, THE DATE OF THE CONSUMMATION OF THE MERGER, INCLUDING ANY AND ALL OF THEIR RESPECTIVE SUCCESSORS IN INTEREST, PREDECESSORS, REPRESENTATIVES, TRUSTEES, EXECUTORS, ADMINISTRATORS, HEIRS, ASSIGNS OR TRANSFEREES, IMMEDIATE AND REMOTE, AND ANY PERSON ACTING FOR OR ON BEHALF OF, OR CLAIMING UNDER, ANY OF THEM, AND EACH OF THEM.

YOUR RIGHTS WILL BE AFFECTED BY THE LEGAL PROCEEDINGS IN THE LITIGATION.

Settlement Hearing

The Court will hold a Settlement Hearing at 10:00 a.m. on October 28, 2008, at the Delaware Court of Chancery in the New Castle County Courthouse, 500 North King Street, Wilmington, Delaware to determine whether the Settlement is fair, reasonable and adequate.

The Rights of the Class Members

If you are a Class Member, you have the following options:

• If you do not object to the terms of the Stipulation, the proposed Settlement, the class action determination, entry of the Order and Final Judgment approving the Settlement, and/or any application by Plaintiffs for an award of attorney's fees and expenses, you do not have to do anything.
• If you object to the terms of the Stipulation, the proposed Settlement, the class action determination, entry of the Order and Final Judgment approving the Settlement, and/or any application by Plaintiffs for an award of attorneys’ fees and expenses, you may present your objections under the procedures described in the Notice (See Notice, Paragraph 39).
